Atlas works with established companies that have genuine operating substance and a strategic reason to access the US public markets. Not every company that wants to list should, and not every company that should is ready to.
INDICATORS OF A FIT
✓ An established operating business with revenue and a trading history
✓ Ownership that can be traced clearly and held through a structure capable of reorganisation
✓ A financial record that can support an audit to the required standard, or a realistic path to one
✓ A management team with the capacity to operate under public-company discipline
✓ A strategic reason for a US listing – capital, acquisition currency, visibility, or shareholder liquidity
✓ A realistic view of timing, cost and the preparation required
NOT YET READY
○ No audited financial statements and no realistic near-term path to one
○ Ownership or group structure requiring substantial reorganisation before it could be explained to a regulator
○ Revenue concentrated in a small number of related-party relationships
○ A management team without bandwidth to support a listing process alongside running the business
○ An expectation that a listing will itself solve a capital shortfall or operational problem
Not every item on the right is a permanent disqualification – many are preparation questions. Establishing them early is the point of a readiness assessment.
Atlas will not accept a mandate where it does not believe a credible pathway exists, where ownership or source of funds cannot be satisfactorily established, where the company or its principals do not clear compliance and sanctions screening, or where the sector or jurisdiction presents obstacles that cannot reasonably be resolved.
